1. Who you're contracting with
The Service is provided by Ai proposals pro. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you are an individual, you confirm that you are of legal age to enter into a binding contract.
2. The Service
Ai proposals pro is an AI-assisted software tool that helps contractors and tradespeople draft estimates, proposals, and related documents. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with the plan you have purchased.
3. Acceptable use
You agree not to misuse the Service, including but not limited to:
- using the Service for any unlawful, fraudulent, or deceptive purpose;
- sending spam or unsolicited communications;
- infringing the intellectual property, privacy, or other rights of any third party;
- uploading or generating content that is illegal, harmful, defamatory, hateful, or violates any applicable law;
- interfering with the security or integrity of the Service, including by introducing malware, probing, scanning, scraping, or attempting to gain unauthorized access;
- reverse engineering, decompiling, or attempting to derive source code; and
- reselling, redistributing, or sublicensing the Service without our written consent.
4. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us immediately of any unauthorized use of your account.
5. AI-generated content
The Service uses AI models to generate proposals and related content based on your inputs. You are responsible for the prompts and information you submit, for reviewing outputs before using them, and for ensuring you have the rights to any content you input. Outputs may contain inaccuracies and should not be relied upon as legal, financial, or professional advice without independent verification. We may remove, restrict, or refuse to generate content that violates these Terms or our acceptable use policy.
6. Intellectual property
We retain all right, title, and interest in and to the Service, including all software, documentation, branding, and underlying technology. As between you and us, you retain ownership of the input content you submit and the proposal outputs you generate, subject to our right to host and process that content solely to provide the Service.
7. Payment, billing, and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing frequency, taxes, currency conversion, invoicing, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for successive terms unless cancelled before the end of the then-current billing period.

9. Suspension and termination
We may suspend or terminate your access to the Service, in whole or in part, for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. Upon termination, your right to use the Service ends immediately; we will make reasonable efforts to allow you to export your data within a reasonable window before deletion.
10. Service availability and warranties
We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, death, or personal injury caused by negligence).
12. Indemnification
You agree to indemnify and hold us harmless from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your content, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Changes to the Service or these Terms
We may update the Service and these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page and updating the effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Ai proposals pro is established, without regard to conflict-of-laws principles. The competent courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to mandatory consumer protection rights that may apply where you reside.
